Terms and Conditions

1.1. Eligibility: You must be at least 18 years old to create an account and use our services. By creating an account, you represent and warrant that you are 18 years or older.

1.2. Account Information: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

1.3. Account Security: You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

1.4. Verification: We may require additional verification documents (such as Aadhaar, PAN, GST, FSSAI license) depending on your user type. Failure to provide valid documents may result in account suspension.

2.1. Role of Lumiyaa: Lumiyaa provides a technology platform that connects farmers and companies for milk transactions. We facilitate communication, bidding, quality testing, and payments but are not a party to the actual sale agreement between farmers and companies.

2.2. Transaction Facilitation: We enable farmers to list milk and companies to bid on it. The final transaction is between the farmer and the company. Lumiyaa is not responsible for the quality, quantity, or delivery of milk beyond what is stated in our quality assurance process.

2.3. Quality Testing: All milk undergoes testing at collection points using calibrated equipment. Test results are shared with both parties. If you dispute a test result, you may request a re-test at an accredited lab at your own expense.

2.4. Payment Processing: We facilitate payments between companies and farmers. Companies must maintain sufficient funds or credit to complete transactions. Payments are processed within 24 hours of successful delivery and verification.

3.1. Farmers agree to:

• Provide accurate information about their milk production capacity and quality
• Make milk available for collection as scheduled
• Allow quality testing at collection points
• Not adulterate milk or misrepresent quality
• Maintain hygiene standards as per FSSAI guidelines

3.2. Companies agree to:

• Provide accurate company information and valid licenses
• Maintain sufficient funds for bid commitments
• Accept delivery of milk as per agreed terms
• Make timely payments as per transaction terms
• Comply with all applicable food safety regulations

3.3. Prohibited Activities: You agree not to:

• Use the Platform for any illegal purpose
• Impersonate any person or entity
• Manipulate bids or engage in collusive practices
• Upload malicious code or interfere with Platform operation
• Attempt to gain unauthorized access to other accounts
• Use automated scripts or bots to interact with the Platform

4.1. Service Fees: Lumiyaa charges service fees for transactions facilitated through the Platform. Current fee structures are:

• Farmers: No registration fee. Transaction fee of 2% of sale value (capped at ₹5 per liter)
• Companies: Registration fee of ₹10,000 (one-time). Transaction fee of 3% of purchase value

4.2. Fee Changes: We may modify our fees upon 30 days' notice. Continued use of the Platform after fee changes constitutes acceptance of the new fees.

4.3. Payment Terms: Companies must pay for milk within 7 days of delivery. Late payments incur interest at 18% per annum. We may suspend accounts with overdue payments.

4.4. Taxes: You are responsible for all taxes applicable to your transactions. Lumiyaa may collect and remit taxes where required by law.

5.1. Ownership: The Platform, including all content, features, and functionality, is owned by Lumiyaa and protected by Indian and international copyright, trademark, and other intellectual property laws.

5.2. License: We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purpose.

5.3. Restrictions: You may not copy, modify, distribute, sell, or lease any part of the Platform without our written consent.

5.4. User Content: By posting content on the Platform, you grant us a worldwide, royalty-free license to use, reproduce, and display such content to provide our services.

6.1. Platform Provided "As Is": The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, regarding the Platform's operation or the information, content, or materials included.

6.2. No Guarantee of Transactions: We do not guarantee that farmers will find buyers or that companies will find sellers. We are not responsible for the quality, safety, or legality of milk listed on the Platform.

6.3. Limitation of Liability: To the maximum extent permitted by law, Lumiyaa shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform.

6.4. Cap on Liability: Our total liability to you for any claim arising from these Terms shall not exceed the greater of ₹10,000 or the fees paid by you to us in the 12 months preceding the claim.

9.1. Informal Resolution: Before initiating any formal dispute, you agree to contact us at disputes@lumiyaa.com to attempt to resolve the matter informally.

9.2. Arbitration: Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in New Delhi by a sole arbitrator appointed by mutual agreement.

9.3. Class Action Waiver: You agree to resolve disputes with us on an individual basis and not as a class, consolidated, or representative action.

9.4. Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

9.5. Jurisdiction: Subject to the arbitration provisions, the courts in New Delhi shall have exclusive jurisdiction over any disputes.

11.1. Entire Agreement: These Terms constitute the entire agreement between you and Lumiyaa regarding your use of the Platform.

11.2. Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

11.3. Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

11.4. Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

11.5. Notices: We may provide notices to you via email or through the Platform. You agree to receive notices electronically.
